Terms of Service — filxo Links

These Terms of Service (“Terms”) govern your access to and use of filxo Links (“Service”) offered by filxo. By creating an account, uploading content, generating links, purchasing a paid plan where available, or otherwise using the Service, you (“you”) agree to these Terms.

1. Eligibility

You represent that you are at least the age of majority where you reside and have authority to bind any organization on whose behalf you use the Service.

2. The Service

filxo Links provides tools to create shareable URLs, upload transient files associated with links, optionally track who opened links subject to privacy controls, configure expiry windows, manage bundles, and view analytics dashboards. Features and limits evolve; we describe material limits where practical in-product. Links and files are ephemeral by design—you should keep copies of anything you cannot afford to lose.

3. Accounts and security

Provide accurate credentials. You are responsible for safeguarding passwords or devices tied to refresh sessions that access your account; notify us via our contact form if you suspect compromise. You may request account closure through the same form or using in-product controls when offered; we process deletion subject to legal retention needs.

4. Fees, payment, and refunds

Some features may require a one-time paid purchase (for example an annual plan) as shown at checkout. Prices, currency, taxes, and SKUs are displayed in-product when payments are enabled. Payments are processed by Razorpay (or another provider we name at checkout) under its terms; you authorize us and our processor to charge your selected payment method for the amount shown.

Except where mandatory consumer protection law requires otherwise, paid amounts are final for the access period you purchased. If you believe a charge is in error or you are entitled to a refund under law, use our contact form. Abusive chargebacks or payment fraud may result in suspension or termination.

filxo may enable or disable billing features using feature flags during rollout; checkout availability does not guarantee uninterrupted payment processing in every region.

5. Content you upload (“Your Content”)

You retain rights to Your Content subject to grants below. By uploading files or configuring links (including wrapped URLs that redirect recipients), you represent you have all rights needed and that transmission does not violate law or anyone’s intellectual property, privacy, or publicity rights. You are responsible for the destinations you link to and for material you share. filxo does not pre-screen uploads in real time unless stated in-product or required by intervention.

6. License grant to operate the Service

To host, encrypt, replicate, transmit, display to authorized recipients via your links, and delete Your Content consistent with expiry and housekeeping, you grant filxo a worldwide, non-exclusive license limited to fulfilling the Services for you. This license terminates as we remove Your Content absent legal retention obligations.

7. Acceptable use

You agree to follow our Acceptable Use / DMCA policy as part of these Terms.

8. Ownership of the Service

Aside from Your Content and third-party logos you supply, filxo retains all rights to software, UX, voluntary suggestions, marks, brand assets, and aggregated statistics derived from operating the Service that do not identify you as an individual.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, filxo AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF POSSIBILITY. TOTAL LIABILITY FOR CLAIMS RELATED TO THESE TERMS OR THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) US $100 AND (B) AMOUNTS WE ACTUALLY RECEIVED FROM YOU SPECIFICALLY FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THAT PERIOD IF APPLICABLE.

Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded (for example certain statutory rights of consumers in your country), and nothing waives those rights where waiver is prohibited.

11. Indemnity

You indemnify and hold harmless filxo from claims arising from Your Content, your breach of Terms, misuse of recipients’ data, or misuse of integrations, subject to our prompt notice (where legally permissible).

12. Suspension and termination

We may suspend or terminate accounts or destroy links violating law, harming others at scale, risking infrastructure, or breaching these Terms. Enforcement may include removing access, takedowns, account bans, or network- or hash-based blocks where we detect repeat abuse. Upon termination where applicable we stop new sharing and enqueue deletion consistent with backlog and our Privacy Policy; residual copies in backups may linger for a limited period.

13. Modifications

We may change the Service or these Terms. Continuing use after notice constitutes acceptance of material changes unless applicable law prohibits.

14. Export and sanctions

You may not export or use the Service in violation of sanctions or export regulations that apply to you or filxo’s operations.

15. General

These Terms are governed by Delaware law excluding conflict provisions, excluding the U.N. Convention on Contracts, excluding private international law doctrines that specify another forum if deemed unenforceable, and excluding class action procedures only to the enforceable extent when not prohibited in your jurisdiction. Courts in Delaware possess non-exclusive jurisdiction. If a provision is unenforceable it is severed; remaining provisions endure. Sections meant to survive termination (including liability limits, disclaimers where enforceable, and indemnities) survive.

16. Relationship to broader filxo agreements

Other filxo products may incorporate separate Terms. Links remains subject to corporate policies cited on filxo.com/terms whenever you cross-purchase or bundle offerings.
